Website Flip Master Services Agreement

This Website Flip Master Services Agreement (the “Agreement”) is between SiTE REViVE (“we,” “us,” “our”) and the business or individual who accepts it (“you,” “Client”). You accept this Agreement by checking the acceptance box and paying your deposit. Electronic acceptance is binding and has the same effect as a signature.

1. What we provide

We will build you a complete, modern replacement for your website (the “Flip”), based on your business and content. The specific build you approved in your private preview is the deliverable. Unless separately agreed in writing, the Flip is a standard business website and does not include custom applications, e-commerce systems, third-party integrations, copywriting beyond your supplied content, ongoing advertising, or search-engine-optimization campaigns.

2. Plans and what is included

The Flip. A one-time rebuild. On full payment you receive your complete website files by private download, along with a plain-language guide for putting them online. You host and launch the site yourself. We do not provide launch, hosting, or upload assistance under this plan.

Flip + Care. Everything in The Flip, plus we host your site, launch it for you, keep it fast and secure, keep your contact form working, and make small content edits, for a recurring monthly fee. “Small edits” means minor text, image, and contact-detail changes, not new pages, redesigns, or new features.

3. Price and payment

The Flip is a flat $1,900, regardless of page count, paid in two equal parts:

• a 50% deposit ($950) due when you claim your Flip, and
• the 50% balance ($950) due at delivery, before your files are released.

Flip + Care adds $99 per month, billed monthly, beginning when your site is launched. Prices are in U.S. dollars and exclude any applicable taxes. Payments are processed by our third-party payment provider; we do not receive or store your card details.

4. Deposit

Your deposit reserves your build and authorizes us to begin finalizing it. The deposit is non-refundable once we begin your finalization work, because that work is performed specifically for you. If we are unable to deliver your Flip for reasons within our control, we will refund your deposit in full as your sole remedy.

5. Revisions

Two rounds of revisions are included after you claim your Flip. A “round” is a single, consolidated set of requested changes. Additional rounds, or changes that expand the original scope, may be quoted separately and are optional.

6. Your responsibilities

You agree to provide accurate business information and to review and respond to revision requests promptly so we can complete your Flip. You are responsible for your domain name and, under The Flip plan, for hosting, launching, and maintaining your site after delivery.

7. Your content and your rights

You represent that you own or have the right to use all names, logos, images, text, and other materials you provide to us or that appear on your current site for us to carry over, and that they do not infringe anyone’s rights. You are responsible for the accuracy and legality of your content. You grant us the limited right to use those materials solely to build and, under Flip + Care, host and maintain your site.

8. Ownership

Once you have paid in full, you own the final website deliverable we create for you, including your content and the completed build, and we assign that ownership to you. We keep ownership of our pre-existing tools, code libraries, design systems, methods, and any reusable components we use to build sites, and nothing in this Agreement transfers those to you or prevents us from reusing them for other clients. Until full payment is received, all work product remains our property and the preview remains subject to the Preview Terms.

9. Delivery and acceptance

When your balance is paid, we deliver your complete site files through a private download code. Delivery of those files completes our obligation under The Flip. Under Flip + Care, delivery means your site is launched and hosted by us.

10. Flip + Care term and cancellation

Flip + Care is month-to-month. You may cancel at any time, effective at the end of your current billing month; monthly fees already paid are not refundable. If you cancel, our hosting and maintenance stop, and on request we will provide you a copy of your then-current site files so you can host them elsewhere. We may suspend or end the plan for non-payment.

11. No guarantee of results

We build your site with professional care, but we do not guarantee any specific business outcome, such as particular traffic, search rankings, leads, or revenue. Except as expressly stated here, the site and services are provided “as is” and “as available,” and we disclaim all other warranties to the fullest extent permitted by law.

12. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or relating to this Agreement will not exceed the total fees you actually paid us for the service giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits or data.

13. Indemnification

You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising out of your content, your materials, your use of the site, or your breach of this Agreement.

14. Independent contractor

We provide the services as an independent contractor. This Agreement does not create a partnership, employment, or agency relationship.

15. Governing law and disputes

This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. Before starting any formal proceeding, the parties will first try in good faith to resolve any dispute informally. Any dispute that cannot be resolved will be brought exclusively in the state or federal courts located in Virginia, and each party consents to that jurisdiction.

16. General

This Agreement, together with the Preview Terms and any written order or approval you accept, is the entire agreement between us about the Flip and replaces any prior discussions. If any provision is found unenforceable, the rest remains in effect. We may update this Agreement for future orders by posting a revised version; the version you accepted governs your order. Electronic acceptance is binding.
